A scheme designed by the participants in a purchase and sale operation with the aim of defining a strategy that maximizes the company’s profitability and minimizes the cost of financing the operation and other costs such as tax costs. The design of the financial structure of the operation will depend to a large extent on the prior financial situation of the participants in the operation, the integration/segregation strategy, the future expectations of the buyer/seller, and the cost and possibilities of financing and the generated and projected cash flow.
